If it were clutch chatter it would probably be all the time or only when the clutch is moving, being engaged or disengaged. It could be shift collars or forks. Depends on how the transmission is set up.

Sounds to me like a busted input gear in the tranny or the mating gear on the counter shaft. The reason it does not make the sound in fourth is because fourth is generally direct drive so it basically locks the shaft straight through and does not go into the counter gear.

I hope that makes sense, I don't really know how to explain it very well.

Tell has it right. It could be a bad countershaft bearing too, but more likely a busted gear on the countershaft.

the NV3500 was used in the Ram1500's and lighter duty Ram2500's. the NV45 was used in the heaier duty 2500's and 3500's. Chevrolet and GMC both used a version of the NV4500 in some of their heavier duty 3/4 and 1 ton trucks. the GM trucks had some of the same issues with that transmission as Dodge did with it.

one of our light duty hall trucks at work is a 2000 Dodge Ram 3500 and it had those issues with 5th gear. we finally got it fixed a few months ago at the tune of about $2800 for parts and labor.

this site sells upgraded NV4500 transmissions and explains the upgrades over the OEM setup.
